Josh Siegel

Founder and Co-Managing Partner

Joshua is a tax problem solver who, on the buy-side works to maximize the tax benefits to the buyer and, when on the sell-side, works to minimize any tax costs of a transaction. He is an expert in the M&A tax advisory space who proactively guides his client through the transactional tax minefield. He specializes in buy-side and sell-side tax due diligence, tax structuring, tax-free reorganizations, “QSBS” analysis, and general tax optimization planning. Joshua’s career as an M&A tax professional spans over 12 years including mostly within the M&A tax group of Big Four and large national accounting firms. Prior to client service, Joshua spent several years in industry with a Fortune 500 hospitality leader. His experience and background in industry as well as in two of the premier M&A tax groups in the country has culminated in Joshua’s unique skill set of commercial business savvy and tax-technical know-how.

Joshua’s has assisted in 100’s of deals ranging from $40b to $1m. He has assisted a wide range of clients consisting of some of the largest global PE firms - Silverlake, Blackstone, Ares, Leonard Green, Berkshire Partners, and Hellman and Friedman, middle market and lower-middle market PE firms, owner-operators, and individual searchers.

Joshua is a licensed attorney and CPA in the state of California.

Matt Montesano

Founder and Co-Managing Partner

Matt is Co-Managing Partner for 8Point Advisors, LLC, a full-service tax and accounting firm based in Southern California. Matt is also the Founder and President of Relay BPO LLC (formerly MPM Advisors LLC), a business process outsourcing firm focused on accounting, fractional CFO and human resources services. Matt has served as Chief Financial Officer for Charlie's Holdings Inc. (OTCQB:CHUC) (and its predecessors), a marketer and distributor of alternative products, where he assisted in bringing the Company public and is currently responsible for the Company's capital markets strategy, annual audits and SEC compliance. Prior to joining Charlie's, Matt worked for L’Oreal USA in a variety of corporate finance positions for the company’s Professional Products and Salon Centric divisions. Matt began his career as an investment banker at KeyBanc Capital Markets where he focused on debt, equity and merger and acquisitions transactions in the industrials space. Matt holds a Bachelor's Degree in Finance from Ohio University.
